Terms of use and sale

These Terms of Use and Sale (hereinafter referred to as the "Terms") govern the acquisition and subsequent usage of of Non-Fungible Tokens (NFTs) issued under the 'Co-Publishing Postcapitalist Discourse' collection, managed and operated by the Economic Space Foundation.

Definitions
  • Discourse unit: a human and machine readable fragment of the Economic Space Agency economic whitepaper Protocols for Postcapitalist Expression. Agency, Finance and Sociality in the New Economic Space, by Dick Bryan, Jorge Lopez & Akseli Virtanen, published by Minor Compositions (Colchester / New York / Port Watson, 2023), fully on chain, implemented technically as a non-fungible token (NFT).

  • Co-publishing: Acquisition of a discourse unit through the book website https://postcapitalist.agency and making the unit permanently public on line.

  • NFT: Non-fungible token, a unique digital asset verified using blockchain technology, including all associated metadata.

  • Content: Refers to the specific fragment of the Protocols for Postcapitalist Expression. Agency, Finance and Sociality in the New Economic Space, by Dick Bryan, Jorge Lopez & Akseli Virtanen, published by Minor Compositions (Colchester / New York / Port Watson, 2023) and all associated metadata that is part of the NFT.

  • Metadata: Refers to the data providing information about the NFT, which may include, but is not limited to, digital files, images, descriptions, or other data related to the unit.

  • Additional benefits: Refers to the additional rights of participation and curation of the emerging postcapitalist discourse, i.e., the so-called discourse generating rights, that are associated with the units.

  • ECSA token and its sale: Refers to a designated utility token for use within the Economic Space Agency ecosystem. It is intended for participation in ecosystem governance and related activities. The token is not classified as a security under prevailing financial market laws and does not constitute a payment instrument under anti-money laundering legislation. The issuance and sale of ECSA tokens by the Economic Space Foundation is a prospective action and is subject to change based on future regulatory and organizational considerations.

  • License: Refers to the Creative Commons Attribution-ShareAlike 4.0 International (CC BY-SA 4.0) License. This license allows for sharing and adapting the work, even for commercial purposes, as long as the user provides appropriate attribution and shares any derivative works under the same license.

Seller information

The units are sold by the Economic Space Foundation, based in Switzerland. Identification Number: CHE-291.276.904

Acquisition of the unit

Upon the execution of a purchase transaction, the purchaser (hereinafter referred to as the "Buyer") will obtain ownership of the NFT and its associated metadata, which represent a specific fragment of the Protocols for Postcapitalist Expression. Agency, Finance and Sociality in the New Economic Space, by Dick Bryan, Jorge Lopez & Akseli Virtanen, published by Minor Compositions (Colchester / New York / Port Watson, 2023). The content and metadata associated with the NFT will be publicly revealed on the blockchain and the book web domain https://postcapitalist.agency for everyone to read.

The Buyer will receive additional benefits to enable participation in the postcapitalist discourse generation, including credit as a co-publisher, access to the ECSA token sale whitelist, and more.

Rights and obligations

The content and metadata associated with the NFT are subject to the Creative Commons Attribution-ShareAlike 4.0 International (CC BY-SA 4.0) License. [See the legal code].

This license allows for sharing and adapting the content and metadata, even for commercial purposes, as long as the user provides appropriate attribution and shares any derivative works under the same license. [See the description of the license].

Transferability of NFT

The owner of the NFT may transfer, sell, or gift the NFT and its associated metadata to others. The rights and obligations as defined in these terms remain attached to the NFT, regardless of its ownership.

The conditions governing the transferability of any additional benefits shall be as stipulated by the Economic Space Foundation and are subject to alteration at its discretion.

No ownership of content or metadata

Acquisition of an NFT does not grant the buyer any copyrights or exclusive rights to the associated content or metadata. The buyer owns the NFT and its metadata, but not the underlying copyright of the content or metadata.

Limitation of liability

The Economic Space Foundation is not liable for any unauthorized use, misrepresentation, or misuse of the content or metadata by NFT owners or third parties.

Data protection and GDPR compliance

A comprehensive Privacy Policy, adhering to the General Data Protection Regulation (GDPR), is annexed to these Terms and details the protocols for the collection, utilization, and protection of personal data, including mailing addresses for book distribution.

Governing law & jurisdiction

These terms and any disputes arising from them will be governed by the laws of the Kanton of Zug, Switzerland and will be subject to the exclusive jurisdiction of the courts of Zug, Switzerland.

Changes to terms

The Economic Space Foundation reserves the right to amend these terms at any time. Any changes will be communicated on the book website https://postcapitalist.agency and will apply to all subsequent NFT sales.
